South Bruce Grey Health Centre (SBGHC) welcomes individuals who are committed to enhancing the diverse skills required for effective hospital board governance.

The Board is responsible to:

• Approve strategic goals and directions.
• Establish a framework for performance oversight.
• Oversee quality
• Oversee financial conditions and resources.
• Oversee enterprise risk management.
• Supervise leadership
• Oversee stakeholder relationships.
• Manage the Board’s own governance.

Directors are responsible to:

• Act honestly and in good faith with a view to the best interests of the Corporation and;
• Exercise the care, diligence and skill that a reasonably prudent person would exercise in comparable circumstances.

Newly elected Board Members are expected to initially serve a three-year term.

Interested individuals must be willing to commit up to 12 hours a month to the responsibilities of the Board and be willing to travel to each of South Bruce Grey Health Centre’s four sites to attend meetings.

Corporate By-law Eligibility Criteria for Election to the Board

No individual shall be qualified for election or appointment as a Director if the individual:

• is under eighteen (18) years old;
• has been found under the Substitute Decisions Act, 1992 or under the Mental Health Act to be incapable of managing property;
• has been found to be incapable by any court in Canada or elsewhere;
• has a status of a bankrupt;
• is an “ineligible individual” as defined in the Income Tax Act (Canada) or any regulations made under it;
• is a current or former employee or Professional Staff member, except as provided under the Public Hospitals Act or by resolution of the Board;*
• lives in the same household as a member of the Professional Staff or an employee of the Corporation except if the individual is an ex-officio Director by virtue of section 3.1(b) or by resolution of the Board;
• is an elected official of any level of government in Canada or whose spouse or common law partner is an elected official of any level of government in Canada, except if the individual is an ex-officio Director by virtue of section 3.1(b); or
• has been convicted of an indictable offence.

*Former employees or Professional Staff members may contact the Executive Assistant to the President and CEO for additional information regarding exceptions to this section.

How to Become a Board Member

Board renewal is conducted through a recruitment process with appointments to become effective at the Annual Meeting held in June.  Advertisements in social media as well as local print media occurs in advance.

However, recruitment is fluid and mid-term appointments to the Board may occur at the discretion of the Board of Directors.  The Board maintains an Evergreen list of individuals who have expressed an interest to serve in this volunteer role.
